We help businesses navigate the turbulent capital markets and are keenly attuned to the concerns of business owners and management in maintaining operational autonomy when raising capital crucial to their business success.

Our attorneys regularly represent and advise issuers in private offerings. As part of the offering process, we advise clients on optimal structuring of the offering, assist in the drafting of transaction and offering documents, and compliance with securities laws, including the availability of exemptions from registration and qualification under federal and state securities laws. OLG’s private offering experience includes handling common stock, preferred stock, convertible preferred stock, stock options and warrants, interests in limited partnerships, limited liability companies, subordinated notes and other debt securities.


Real Estate Transactions and Finance

OLG has a robust and sophisticated real estate practice. We help our clients acquire property by virtually every means known to real estate law. We serve as counsel to borrowers and lenders. We help our clients acquire, finance develop, lease, manage and sell their real estate.

OLG has advised clients in the acquisition and disposition of scores of investment grade assets, including multi-family, retail, office, industrial and mixed-use developments. We have helped clients purchase, ground lease, take a contracts for sale, and assume the buyer’s or tenant’s interest in all of the forgoing. We routinely encounter and resolve complex title and environmental defects in conjunction with acquisitions. OLG lawyers have helped clients negotiate liability in connection with the Portland Harbor Superfund Site. We have assisted in the development of mixed-use and multi-family assets.

Our real estate financing practice covers the map. We advise borrowers and lenders in connection with construction and permanent financing, portfolio and conduit loans, supplemental loans, seller financing, mezzanine loans and preferred equity investments. We help structure participating convertible loans. We work with HUD, Fannie, and Freddie, banks and institutional lenders.

Our clients who own properties look to us to help maximize their value. We serve as leasing counsel for one of Portland’s biggest office property managers. We prepare property management and asset management agreements. When the time comes to liquidate, we help our clients execute on their exit strategies.


Private Equity Funds

OLG regularly advises private equity capital fund sponsors on a variety of legal matters, including portfolio investments and the formation of new funds. OLG lawyers have particular expertise in the formation and operation of real estate equity funds. We have also worked with funds whose investment strategies include mortgage lending, precious metals and traditional long and short funds.

Our interdisciplinary practice brings all of our varied disciplines and experience to focus on the complex business, tax, and regulatory issues associated with fund formation and management, including those related to securities, tax and ERISA. We advise on all aspects of fund organization, domicile selection, exemption from registration, exemption from plan asset rules and fee and compensation structures. We assist our sponsor clients with securing credit facilities backed by investor commitments. Firm lawyers have experience in organizing captive REITs used by funds to mitigate UBTI. We regularly advise general partners on fund structure, business terms, side pocket arrangements and documentation. We also counsel general partner principals in resolving the issues relating to the operation of the general partner entity, carried interest splits, vesting arrangements and management control.

OLG’s fund clients also engage us to assist them in negotiating and documenting their investment transactions. These transactions include a wide range of investing activities, including joint ventures, preferred equity transactions, mezzanine loans and other structured finance transactions.

We also regularly represent sponsors of real estate projects in their transactions with private equity and other institutional investors, including REITs. These transactions include real estate joint ventures, limited partnerships and LLCs, tax strategies, investor subscription agreements and disclosure documentation.
